Job Description

Our client, a leading growing Global Life Insurance Company is searching for a Corporate Transactions Senior Counsel. The Senior Counsel, Corporate Transactions, will be part of a small legal team and will provide legal advice for complex insurance growth and other transactions, manage corporate governance activities and provides support for other areas, as needed, within the company.Position DescriptionServes as an integral member of the core deal team for growth transactions, including public and private legal entity acquisitions and reinsurance transactions, as well as other strategic growth initiativesParticipates in the entire lifecycle of transactions from development of preliminary bids and indications of interest through closingDrafts and negotiates a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, joint venture agreements, trust agreements and administrative services agreementsParticipates in strategic and tactical decision-making and provides counsel to senior management on all legal aspects related to contemplated transactionsActs as primary US counsel for all governance and corporate authority mattersOversees preparation of annual and periodic regulatory filings as well as review and input on quarterly and annual financial statementsOversees and supervises senior corporate paralegal's work in all matters related to maintenance of corporate records and multiple Boards of Directors and committee meetings.Advises and collaborates closely with other functions across the company, including finance, actuarial, investments, risk, and operationsManages and oversees outside law firms to obtain world-class, cost-effective legal servicesRequirementsLaw degree from accredited U.S. law schoolCurrent bar license in good standing and compliant with state requirementsMinimum 6 years related experienceMUST have Life Insurance/Reinsurance experienceTeam player who can contribute and develop expertise in multiple areas, often with limited guidanceFamiliarity with the Model Holding Company ActExperience managing government affairs a plusAbility to work under pressure with a high degree of attention to detailDemonstrated leadership presence and skillsSuperior interpersonal, organizational, written, and oral communications skillsThis position is located in NYC and will work a hybrid schedule of 2-3 days in the office/week.This company offers a competitive base salary plus annual bonus and Long Term Incentive Bonus plan as well as a comprehensive benefits package.Only candidates that have a minimum of 6 years of related experience within the Life Insurance/Reinsurance industry will be contacted.For immediate consideration, please submit your resume to Joanmarie Bolding, Managing Director of Recruiting at jmb@
