Whom we are looking for: We are seeking an experienced Fractional General Counsel to support 111SKINs legal needs on a part-time basis. This role will provide strategic legal guidance on corporate governance, commercial contracts, regulatory compliance, intellectual property protection, and risk management. The ideal candidate will have experience in the beauty, luxury, or consumer goods sector, preferably with exposure to DtC, wholesale, spa and distributor-led models.Duties and responsibilities:Corporate & Commercial Legal Support: Draft, review, and negotiate commercial agreements, including supplier, distribution, licensing, and partnership contracts.Intellectual Property Protection: Develop and execute trademark and patent strategies, ensuring robust brand protection across key markets and coordinating enforcement efforts against infringement.Regulatory Compliance: Responsible for compliance with cosmetics regulations, advertising standards, data protection laws (GDPR), and e-commerce requirements across global markets.Fundraising & Investment Support: Provide strategic legal guidance on investment negotiations, conduct due diligence, and ensure compliance with governance requirements for incoming investors.Employment & HR Matters: Offer guidance on best practice with employment law issues, contracts, and company policies.Litigation & Dispute Resolution: Manage any legal disputes, working with external counsel when necessary.Risk & Compliance Management: Develop and implement strategies for managing legal disputes, leveraging external counsel when necessary, and mitigating risks to protect the companys interests and reputation.Ensure Tax & Customs Compliance Work with finance teams and external advisors to navigate customs duties, VAT regulations, and global tax requirements.Advise on Board & Corporate Governance Support board meetings, draft corporate resolutions, and ensure governance best practices.Requirements:Qualified lawyer with 10+ years of experience (in-house or private practice).Expertise in luxury, beauty, consumer goods, or retail industries is highly desirable.Experience in cross-border transactions, distributor agreements, and regulatory compliance (especially in China and the US).Strong knowledge of IP law, corporate governance, and commercial contracts.Familiarity with fundraising, investor negotiations, and private equity-backed businesses is a plus.Ability to work flexibly and provide high-level strategic advice while being hands-on when needed.Collaborative mindset with strong commercial acumen.Culture & Benefits:Everything we do at 111SKIN is to help people.
