Job Family Group: Business Support GroupJob Description: CompanySecretary'sOfficeThe Company Secretary's Office (CSO) team purpose is to partner with the boards and businesses at bp, facilitating effective decision making through dynamic corporate governance, whilst maintaining the good standing of bp legal entities around the world. This is achieved through focusing on the strategic priorities for CSO: excellence in corporate governance; simplification; building trusted partnerships.Corporate governance at BP p.l.c. has a high degree of breadth and complexity and the structure of the team reflects the aim of a best-in-class service delivery with three UK members of the CSO leadership team individually having responsibility for plc Board and Committees, Corporate Governance and Subsidiary Governance.This role will be required to focus on the delivery of a range of corporate governance deliverables and have the opportunity to grow and develop in the support of senior colleagues to meet the high expectations set out above.Given the scope of responsibilities, working closely with other team members on their related areas will be central to being successful in this role as will the ability to build positive relationships with stakeholders across bp.As a key member of the global CSO team, this role will contribute to the teams modernisation and transformation journey, including leading the identification and implementation of automation opportunities to deliver efficient end to end workflows.Core company secretarial activities including but not limited to:Oversight and delivery of compliance with UK listed company continuing obligations, including the Listing Rules, DGTRs and UK Corporate Governance Code, in addition to providing support related to bps US, German and legacy Tokyo listingsMarket abuse regulation (MAR) complianceOversee the full MAR compliance processDraft, update and issue documentation and notifications to list membersResponsible for quarterly review and update of listsAnnual Report and Form 20-FAssist with the production and delivery of the governance section of the annual report and form 20-F, including drafting key sectionsShareholder ManagementWorking closely with bps US registrars to oversee US shareholder initiatives including special projects as well as BAUSupporting on s. 116/s.793 requests and other shareholder requestsDividend and share capital processesSupport on dividend processDeliver and oversee the maintenance of bps share capital processesSupporting on director year-end processes, partnering with an innovation and engineering team to deliver a bespokeSupporting on engagement with shareholders and proxy advisory firmsSupporting on AGM operational activitiesCorporate Governance special projects - working across the plc team in the delivery of special projects and responses to government and other official consultationsThere will be opportunity to support members of the team in other areas of corporate governance.
