Job DescriptionJob Title: Legal CounselExperience: 3-7 YearsIndustry: E-CommerceLocation: MumbaiAbout the RoleWe are looking for a highly skilled Legal Counsel to join our dynamic legal team. This role requires 3-7 years of experience, primarily in the e-commerce sector, with a strong focus on commercial contracting. The ideal candidate should also have experience in one or more of the following areas: technology/IP, e-commerce, competition law, M&A and should be open to working across various business verticals within the The SuperApp.The role involves a mix of contract drafting, legal advisory, risk assessment, and stakeholder management. The candidate will be responsible for reviewing, negotiating, and drafting contracts, ensuring regulatory compliance, providing strategic legal insights.Key Responsibilities1. Contract Drafting, Negotiation & ManagementDraft, review, and negotiate a variety of contracts, including software licensing, SaaS, services (procurement and delivery), terms of service, marketing, service level agreements, and financing arrangements.Collaborate with stakeholders to negotiate and finalise contract terms with external parties.Assist in developing contracting standards aligned with company policies, regulatory requirements, and industry best practices.Maintain a contract tracker, ensuring proper execution, documentation, and filing of agreements.2. Regulatory AdvisoryStay updated on relevant laws, regulations, and industry standards related to e-commerce and B2B/B2C operations.Provide advice and guidance to internal teams to ensure compliance with applicable legal requirements.Conduct legal research and advise on the implications of regulatory changes on existing and new products/services.Draft and update internal policies and procedures in line with regulatory updates.Provide inputs and draft responses for customer complaints and legal notices.3. Risk Management & Legal GovernanceEnsure legal, regulatory, privacy, and reputational risks are minimized through proactive risk assessment and policy development.Work closely with internal teams to align contracts and policies with business objectives while ensuring legal compliance.4. Cross-functional collaborationCollaborate closely with cross-functional teams, including technology, product, finance, strategy, marketing, categories etc. and provide legal guidance and advice to support business objectives.5. Advisory on shareholder/investment mattersOversee deal documentation and shareholder matters- collaborate with subsidiaries on key corporate matters including rendering advise on shareholders’ agreements and investment agreements.Support with TD group investments including conducting due diligence, drafting, negotiating and reviewing transaction documents and providing strategic legal guidance on structuring matters.Ideal Candidate ProfileEducation: LL.B from a reputed institutionExperience: 3-7 years post-qualification experience, with prior law firm experience preferredSkills & Expertise:Strong contract drafting, negotiation, and communication skills.Proactive, solution-oriented approach with a keen interest in research and regulatory analysis.Strong analytical skills with the ability to interpret complex legal and regulatory frameworks.
