What we are looking for: We are currently seeking a Trainee (Company Secretary) to assist with our corporate secretarial functions. This position presents an excellent opportunity to acquire practical experience in corporate governance, regulatory compliance, and stakeholder coordination. Firm Description: GAA Consulting is a peer-reviewed, independent and professionally managed organization with diversified interests in Corporate Advisory and Consultancy. Our services encompass fundraising through private placements, rights issues, company restructuring, capital reduction, ESOP management, and trademark registration. We also offer advisory services related to due diligence, initial public offerings (IPOs), and secretarial audits for both listed and unlisted large corporations. Job Description: Assist in the preparation of notices, agendas, minutes, and resolutions for Board, Committee, and Shareholder meetings. Maintain and update statutory registers and records in accordance with the Companies Act, 2013. Support the filing of returns, e-forms, and reports with the Ministry of Corporate Affairs (MCA), SEBI (LODR), RBI, and other relevant regulatory bodies as required. Assist with various event-based Company Secretarial activities. Aid in the preparation and filing of compliance forms such as MGT-7, AOC-4, PAS-3, and DIR-12, among others. Support compliance with FEMA, SEBI, and other applicable regulations. Assist in drafting and reviewing corporate agreements, resolutions, and other regulatory reports. Location: Raghavendra Colony, Behind IIM-B, Bengaluru. Qualification: Candidate must have cleared CS Executive or Professional Exams. Candidate must have fair knowledge about Company Law and Secretarial Practices. Good written and verbal communication abilities. Proficient in MS Word, MS Excel and basic computer skills. Keen attention to detail and a commitment to high levels of accuracy. Proficient in managing multiple tasks efficiently while working under pressure to meet deadlines.
