About the Job: The purpose of this role is to be a key support to the Group General Counsel by providing advice and independently manage a wide range of legal activities including M&A and financing transactions, drafting, reviewing, and commenting on legal transactions & documents. Proactively advise senior stakeholders on key commercial and legal risks in high value, complex contracts and transactions. Impact this role will make: Work on diverse transactions across multiple jurisdictions (often cross-border) including merger and acquisition, treasury related transactions. Drafting and negotiating the key transactional documents, control of due diligence and managing projects to a budget. Highlight risks and strategize to mitigate the risks. Identifying key legal issues and ensuring that the concerns of the business team and external counsels are streamlined to achieve the desired results. Augment legal advice/ opinion for cross-functional and cross-jurisdictional transactions to derive value for business. Advise the Company on matters of Company governance and policy. Key stakeholders (Internal /External) Corporate office teams : Senior Group Management, M&A, BD, IR, Treasury teams Group Companies External Counsels The ideal candidate: post-graduate in law from a reputed institution having post qualification experience of 7-10 years in a law firm/ in-house in fields of M&A, investments and debt financing. Well versed with mergers & acquisition, drafting & documentation. M&A exposure is preferable, ideally experience in end-to-end process for conglomerates/ diversified group of companies. Familiarity with a wide variety of transaction types (e.g., public company, private company, joint venture, share purchase, asset purchase, capital raises, bond issuances cross-border, etc.) Must be able to work autonomously on deals with limited supervision and have credible experience of doing so. Experience mix of corporate and law firm is desirable Sound understanding of business practices, corporate governance and reputation risk Excellent communication & interpersonal skills and ability to work under pressure and within tight timelines.
