Marwadi Shares and Finance Limited (MSFL)Job Purpose: We at MSFL are looking for two persons for the post of Company Secretary/Assistant Company Secretary.Requirements: ● Qualification: Company Secretary / Intermediate CS, if having experience of secretarial compliance ● Experience: Minimum 7-8 years ● CTC: Rs. 7.50 Lacs p.a. (Negotiable as per skills of the candidate) ● Location: Corporate Office-Rajkot ● Vacancy: 2Responsibilities: ● Incorporation of Company, LLP & Partnership Firm. ● Conducting Board Meetings, various Committees Meetings, Annual General Meetings, and Extra-ordinary General Meetings along with preparation of Minutes and other documents thereof and Maintenance of records by The Companies Act, 2013 for all Group Companies. ● Preparation of Board’s Reports, Annual Reports, etc. ● Handling of LODR compliances for listed NCDs. ● Drafting of various types of Resolutions, Agreements Reply Letters etc. ● Preparation of various documents and other records related to the Appointment & Resignation of Directors including Additional Directors, Independent Directors, Managing Directors and Whole Time Directors. ● Appointment & Resignation of Statutory Auditors of group Companies and related submissions with ROC ● Maintenance of various Statutory Registers by Companies Act, 2013 ● Preparation of Documents and Forms related to the Annual Filing for various group companies and LLPs and tasks related to XBRL filing. ● Process of Subsidiarisation, transfer, Split, Dematerialisation, Buy-Back, and Right issue of Securities, etc. ● Alteration of Memorandum of Association, Alteration of Articles of Association, Shifting of Registered Office, Registration & Satisfaction of charges ● Conversion of Companies from Private to Public and vice versa. ● Preparation of Various Documents, and various e-Forms as required by various provisions of Companies Act, 2013.Skills: ● Proficient knowledge of MS Excel, PowerPoint, and Word software. ● Excellent written and verbal communication skills. ● Should be Accurate and responsible ● Good command of the English language and legal drafting.Personality: ● Careful and diligent even meticulous with a good dose of common sense ● Efficient, effective, and organized in both physical and digital words ● Modestly confident and also personable, good-humored and trustworthy ● Informal but 100% professional while respecting traditional courtesy and good manners. ● Positive and Learning approach. Should be ready to accept challenges and new tasks. ● Hard working, patient, and mature.
