Job Description: Company Secretary Position:Company Secretary Organization:Leading Skilling Organization Location:New Delhi Experience:Minimum 20 years About the Role: We are seeking an experienced and highly competentCompany Secretaryto join our leading skilling organization. The ideal candidate will bring a deep understanding of corporate governance, compliance, and stakeholder management, with a proven track record of working with senior leadership in public-private partnerships. This individual will play a pivotal role in ensuring the organization’s adherence to statutory requirements while managing complex stakeholder relationships. Key Responsibilities: Governance & Compliance: Ensure compliance with all applicable laws, regulations, and governance frameworks (e.g., Companies Act, SEBI regulations, CSR guidelines). Facilitate the organization’s adherence to its joint ownership structure, balancing the expectations of Government and Private Chambers of Commerce. Maintain statutory records, registers, and filings with regulatory authorities such as MCA, SEBI, and other relevant bodies. Board and Committee Support: Organize and coordinate Board meetings, committee meetings, and Annual General Meetings (AGMs), including preparing agendas, minutes, resolutions, and action points. Advise the Board and senior management on corporate governance best practices and legal compliance matters. Liaise with independent directors, audit committees, and other stakeholders to ensure seamless communication and collaboration. Strategic Advisory: Provide strategic advice on legal, regulatory, and governance risks impacting the organization’s operations. Act as a trusted advisor to the CEO, Board, and senior leadership, ensuring alignment with corporate objectives and governance norms. Stakeholder Management: Build and maintain strong relationships with senior stakeholders, including representatives from Government of India, industry bodies, and private sector partners. Address complex stakeholder issues with diplomacy and ensure a collaborative approach to decision-making. Regulatory Liaison: Act as the primary point of contact for regulatory authorities and represent the organization in official capacities. Proactively engage with legal and regulatory bodies to stay ahead of compliance changes and industry developments. Documentation and Contracts: Review, draft, and negotiate critical legal documents, contracts, and MoUs in alignment with organizational objectives. Oversee documentation related to mergers, acquisitions, or other corporate actions, if applicable. Training and Capacity Building: Conduct training sessions for directors and key executives on governance updates and regulatory changes. Foster a culture of transparency and compliance across the organization. Qualifications & Experience: Membershipwith the Institute of Company Secretaries of India (ICSI) is mandatory. Minimum20 years of experience , with at least10 years in a leadership role . Extensive experience inpublic-private partnership organizationsor entities interfacing with government bodies. Proven ability to work with senior stakeholders, including board members, government officials, and corporate leaders. Strong knowledge of corporate law, governance frameworks, and regulatory landscapes in India. Key Skills: Excellent interpersonal and communication skills to manage diverse stakeholders.
