Purpose of the Job:To assist in the compliance of Companies Act, 2013, Secretarial Standards, SEBI (Listing Obligations and Disclosure Requirements) 2015, SEBI (Prohibition of Insider Trading) Regulations, 2015, SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 & SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and other relevant corporate laws such as FEMA etc.Key responsibilities:Drafting of Agenda papers, Circular resolutions & Minutes. Filing of disclosures with Stock Exchange. Filing of Corporate Action and Listing Forms for crediting and Listing of ESOP shares with the Stock Exchange(s). Filing of various forms with MCA, RBI and other relevant governmental authorities. To monitor and track requirements in pursuance of the Verification of Market Rumors circular issued by SEBI. Any other routine matter related to Secretarial function.Role Specific Competencies:Thorough knowledge of Companies Act, SEBI (LODR) 2015, ESOP Regulation, PIT, FEMA, & other relevant corporate laws. Update on various statutory developments, etc. Excellent Drafting and interpretational skills.Formal Qualifications / Prior Work Exp: CS At least 3-5 years of PQE in a Listed Entity
