Job Description

Key Responsibilities – Private / Public Companies (Holding and subsidiaries):Board/Committee/General Meetings – Drafting of Notice, Agenda, Minutes, Circular resolutions, Boards’ report, circular resolutions and ensuring that the meetings are conducted in compliance with legal requirements. Various MCA / RBI / other filings including BEN, DPT and MSME. Maintaining statutory registers, MIS of important corporate records: MOA, AOA etc. Issuance of certified Board resolutions, LOA, and other compliance-related documents to concerned internal / external stakeholders. Liaising with various stakeholders viz: Shareholders, Auditors, ROC, Consultants, RTA, CDSL, NSDL, Banks, internal departments, Directors’ office etc. Preparation of documents for various transactions viz: Change in MOA/AOA, Increase in Authorised Capital, Shifting in registered officer, Director / Auditor/KMP appointment, Corporate actions viz: Merger, strike off, Preferential allotment, private placement, OCD/NCD, Rights / Bonus issue, demat of Company capital, conversion of warrants / CCCPs to equity, Transfer of physical / demat shares/ Issuance of split / duplicate share certificates. Formulation of / amendment to policies / charters / terms of reference of the Committees, in accordance with Companies Act, 2013 Maintaining and tracking list of related parties and tracking of RPTs. Formulation of / amendment ESOP policy and ESOP administration viz: Exercise, allotment corporate actions etc. Ensure website compliance. Be updated with changes in laws that may impact the company's operations and implementation. Group restructuring and listing process.Person Profile:Company Secretary (ACS - Associate Company Secretary) from the Institute of Company Secretaries of India (ICSI). Ability to independently handle and drive entire secretarial function. Minimum 3-5 years of relevant experience in similar corporate roles. In-depth knowledge of Companies Act, RBI, FEMA laws, other applicable statutory rules & regulations, and compliance requirements. Excellent analytical and problem-solving skills to support decision making process. Strong communication and interpersonal skills to collaborate with.
