Job Description:We are seeking a skilled and motivated senior legal professional to join our clients Legal team. The General Counsel will play a critical role in advising and supporting the company on a wide range of legal matters, including commercial contracts, documentation, financings, compliance, JV Structuring and partnerships, corporate governance, regulatory issues, and risk management. The ideal candidate will have significant experience in the Construction and Real estate sectors.This position requires a strategic thinker with excellent problem-solving skills, who can act as a trusted advisor to senior leadership and help drive the company's mission forward.Preferred Industry Background: Construction & Infrastructure Real Estate Development Engineering, Procurement & Construction (EPC) Property Law & Land AcquisitionKey Responsibilities:1. Risk Assessment & Legal Advisory:Provide strategic legal advice and guidance to executives, senior management, and businesses on a range of issues affecting the company’s operations.Advise on legal risks and develop mitigation strategies in alignment with business objectives.Ensure all business activities comply with relevant laws and regulations. Identify legal risks in contracts, land acquisitions, and project execution. Provide legal opinions and strategies to mitigate risks in project financing, vendor agreements, and customer claims. Conduct legal due diligence on land and real estate acquisitions.2. Contracts and Commercial Agreements:Draft, review, and negotiate commercial contracts, financing documents, joint ventures, partnerships, and licensing agreements.Draft, review, and negotiate contracts, agreements, and MoUs related to construction projects, real estate transactions, vendors, and contractors. Ensure compliance with RERA (Real Estate Regulatory Authority), land acquisition laws, and lease agreements. Develop standardized legal templates for various agreements, including EPC (Engineering, Procurement, and Construction) contracts, joint ventures, and subcontractor agreements.3. Regulatory Compliance:Ensure compliance with all local, state, and central laws governing construction, real estate, labour, and environmental regulations.Oversea company licenses, permits, approvals, and registrations related to land acquisition, development, and operations. Liaise with regulatory authorities such as RERA, municipal corporations, environment departments, and urban development authorities. 4. Litigation Management and Dispute Resolution:Oversee dispute resolution, litigation, and arbitration matters, related to construction contracts, property claims, labour disputes, and regulatory matters and working with outside counsel as required.Lead internal investigations and develop strategies to prevent future litigation risks. Represent the company in civil, criminal, arbitration, and consumer courts as required. Coordinate with external legal counsel, senior advocates, and law firms for critical casesQualifications:Education: LLB / LLM from a recognized university.Experience: 15-20 years of legal experience, preferably in construction, real estate, or infrastructure sectors. Expertise in: Real estate laws, RERA, Land Acquisition Acts, Transfer of Property Act Litigation & arbitration in the construction industry Contract negotiation & risk assessment Regulatory compliance with government authorities & municipal bodiesExcellent written and verbal communication skills, with the ability to articulate legal matters to diverse audiences.Ability to work independently, prioritize tasks, and meet tight deadlines in a dynamic environment.High level of integrity, attention to detail, and commitment to excellence.
