The role is also responsible for the company secretariat function of NA and support for the NA Chair, Board, CEO and Executive as well as external stakeholders. This is a full-time opportunity working on a permanent basis with direct and indirect reports.ABOUT THE ROLE1. Company SecretaryAdvising the Board and sub-committees on governance matters;Monitoring that Board and sub-committee policy and procedures are followed;Coordinating the timely completion and despatch of board and committee papers, with the Board Executive Support Officer and CEO;Ensuring that the business at board and committee meetings is accurately captured in the minutes;Ensuring compliance with ASIC and other regulations and reporting requirements, including oversight of registers and records;Providing or procuring advice for the Board regarding application of the Corporations Act, the company constitution and others;Development, communication and implementation of compliance policies, processes and procedures;Advising the board on good practice in corporate governance;Safeguarding the integrity of the organisation by promoting the compliance framework;Ensuring the board has the information it needs to make informed decisions;With the NA Chair, coordinating and supporting regular board performance reviews;Being involved in matters relating to risk management, legal, corporate responsibility, board policy formulation.2. IntegrityEnsuring compliance with the National Integrity Framework, through compliance with the Sport Integrity Australia Policy Standards, and regular updates of the Netball Integrity Policy Framework, with SSN Clubs and Member Organisations;Overseeing the SSN League integrity and compliance program, including SSN Policies as defined in the Team License Agreement and auditing programs across each of the Policies;3. Anti-CorruptionImplement and lead operations of NA''s Anti-Corruption program;Manage stakeholder relationships including with government agencies, betting agencies and integrity service providers;Work with sports wagering providers around product fees, sports betting monitoring and approved bet types;Manage investigations, including match fixing, as required;Liaise with and manage NAs relationships with law enforcement agencies dedicated to anti-corruption in Australian sport;Be NAs principal point of contact with external anti-corruption units and with other national and international anti-corruption units;Act as principal point of contact for any player, official or staff reporting corrupt conduct.4. Anti-DopingImplement and lead NAs anti-doping strategy, in conjunction with the NA Chief Medical Officer;Manage stakeholder relationships including with government agencies and Anti-Doping Medical advisors;Support the NA Chief Medical Officer to maintain and enforce the key principles and guidelines including those detailed in the Netball Integrity Framework;Oversee compliance of primary care personnel with Australian Health Practitioner Regulation Agency (AHPRA) and Athlete Management System (AMS) requirements;Manage relationship with Sports Integrity Australia and assist in developing anti-doping strategy and facilitating any test distribution plan.Implement and lead operations of NAs safeguarding children and young people, member protection and conduct;Manage stakeholder relationships including with government agencies, MOs, SSN Clubs, Players, ANPA;Manage investigations, as required;Be NAs principle point of contact in relation to all Netball Integrity Policy Framework matters across NA programs and events.6. InvestigationsManage any investigations relating to breaches of codes, policies, contracting rules etc.Overseeing the NA legal team, including but not limited to:Drafting, negotiating and reviewing agreements (across all departments, players and programs) and amendments and variations as required;Advice on the operation of the Team Licence Agreements, Collective Bargaining Agreements, Competition Rules and other operational rules across NA and its competitions, players, clubs and/or staff and contractors;NAs intellectual property portfolio;Terms and conditions of entry and/or service;General legal advice.Oversee, update and manage policies across governance, integrity and legal, including but not limited to delegation of authority, contracting, whistleblower, privacy and modern slavery;Oversee NAs risk framework, including programs to support mitigation of NAs risk such as critical incident management framework.9.
