What Youll Be Doing: Lead Board Operations: Organize and support Board and committee meetings, prepare agendas, coordinate the production and distribution of papers, ensure accurate minute-taking, and manage action follow-ups. Youll be the linchpin for seamless Board operations, ensuring that every meeting runs smoothly and efficiently. Governance Excellence: Provide expert guidance on corporate governance, regulatory compliance, and best practices. You''ll ensure the organization meets all obligations under ASIC, ACNC, and the Corporations Act. Youll also manage the Board Circular Resolution process and oversee the integrity and accuracy of all corporate governance registers. Legal & Administrative Support: Assist in legal research, draft key communications, review legal documents and correspondence, and manage statutory filings. You''ll also ensure the effective use of our Board platform (Diligent), maintaining the currency and accuracy of all materials in the system. Statutory Compliance & Reporting: Ensure timely completion and lodgement of statutory forms/returns, and review quarterly and annual reports for compliance with relevant legislation. Your meticulous attention to detail will safeguard the organizations legal standing. Stakeholder Engagement: Provide administrative support to Board, Council, and Committee Chairs. Build and maintain strong relationships with senior executives and key stakeholders, ensuring clear and effective communication at all levels. Continuous Improvement: Support the implementation of corporate governance policies and procedures, contribute to the review and improvement of governance processes, and foster a culture of compliance and accountability across the organization. What Were Looking For: Qualifications & Knowledge: A degree in a relevant field (Legal, Governance, or Finance preferred), or an equivalent combination of education and experience. An AICD or Corporate Governance Institute qualification is desirable. Strong understanding of corporate law, governance, compliance and regulatory requirements, including board procedures and charities legislation, is essential. Experience: Demonstrable experience in a similar role, with proven expertise in corporate governance, compliance, and risk management. Comfortable dealing with regulatory bodies and overseeing corporate governance registers. Experience in reviewing legal and corporate documents and providing sound advice is crucial. Experience in growth and transition within a corporate governance or legal environment is a plus. Technical Competence: Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, SharePoint) and familiarity with governance platforms like Diligent. Strong attention to detail is essential for maintaining accurate records, legal filings and regulatory documents. Personal Attributes: High levels of initiative, strong organisational skills, and effective time management to juggle multiple tasks such as scheduling meetings, handling correspondence, and preparing reports. Exceptional communication skills to engage with board members, regulators, and stakeholders, both written and verbal. Strong interpersonal skills to maintain positive relationships and act as a liaison between the board and external parties. Ethics & Integrity: The role requires a high degree of confidentiality and integrity, given access to sensitive matters. A demonstrated commitment to fostering a culture of safety, quality, and continuous improvement. Strategic Thinking & Problem-Solving: Ability to navigate complex legal or procedural issues and provide strategic advice on governance matters. Assist in making decisions that align with organisational goals and contribute to long-term success. Compliance Requirements: Possess a current National Police Certificate, Working with Children (Blue Card) or the ability to acquire. And undergo a National Personal Insolvency Check.
